This has got to have  everything about timing on both sides with lawyers working both sides. &lt;br&gt;&lt;br&gt;    What we do know is they have been working on details for  over 5 months now. &lt;br&gt;&lt;br&gt;    I think the buyer has been getting their ducks in a row so  to speak and working on corporate changes since February. Since this is still  ongoing this could be something great for us who are staying long. Others will  get tired of holding and sell but that is ok because they can get back in  later.&lt;br&gt;  &lt;br&gt;  &lt;br&gt;  It could be that they are in Non Disclosure  Agreements with ENCC now.  &lt;br&gt;&lt;br&gt;    $ENCC has a clean corporate history with no foreign past  company ownership and has no debts, it is perfect for a Defense, Cybersecurity,  Government technology, Autonomous drones, Electronic warfare, Government Cloud,  Secure communications, Artificial intelligence, Aerospace company, Quantum  technology company, Enterprise software type companies, Non-defense company.&lt;br&gt;&lt;br&gt;    The Secretive Buyer Narrative: ENCC&amp;#39;s historical filings or  Belisarian Holdings hinted that the prospective buyer they are in discussions  with brings an entirely different corporate profile and legal heavyweights  compared to any past suitor. &lt;br&gt;&lt;br&gt;    This aligns perfectly with a defense, which requires  airtight legal firewalls before touching anything public. That’s, The Reality of "Top Secret" M&amp;amp;A&lt;br&gt;  &lt;br&gt;  That could be a good reason why Belisarian  Holdings is so quiet on posting anything on X&lt;br&gt;  &lt;br&gt;  The hard facts right now is less information  is better because they are working on multiple tickers with buyers.&lt;br&gt;  &lt;br&gt;  Many of us knew this and are ok with it if the  end result is a nice change of control and a reverse merger into a great  companies.&lt;br&gt;  &lt;br&gt;  Only time will tell.&lt;br&gt;&lt;br&gt;     &lt;br&gt;&lt;br&gt;    Indicator here is Cade  Carter owns 2,795,000 ENCC common shares that he has been holding. Why is this  good for us?&lt;br&gt;  Well at the end of 2025 Cade Carter had  4,020,000 ENCC shares. That means Cade sold 1.225,000 ENCC shares at the end of  2025.&lt;br&gt;  For some reason he changed his mind to sell  any more shares and has kept his remaining 2,795,000 ENCC shares.&lt;br&gt;  &lt;br&gt;  Why did Cade stop selling?&lt;br&gt;  For that reason you need to look at the&lt;br&gt;  Encompass Compliance Corp Annual Report&lt;br&gt;  For the period ending 12/31/25 that was filed  on 2/08/2026&lt;br&gt;  &lt;br&gt;  They found an interested buyer.&lt;br&gt;  &lt;br&gt;  NOTE 4 – SUBSEQUENT EVENTS&lt;br&gt;  The Company follows the guidance in Section  855-10-50 of the FASB Accounting Standards Codification for the disclosure of  subsequent events. The&lt;br&gt;  Company will evaluate subsequent events  through the date when the financial statements were issued.&lt;br&gt;  Subsequent to the balance sheet date, the  Company entered into discussions with a third party regarding a potential  change of control transaction. As&lt;br&gt;  of the date of this disclosure, such  discussions are ongoing, are non-binding, and no definitive agreement has been  executed.&lt;br&gt;  &lt;br&gt;  &lt;br&gt;  &lt;br&gt;  Also:&lt;br&gt;  &lt;br&gt;  Belisarian holds 36,500,000 restricted common  shares of ENCC.
