(OTCQB: CERP) (the "Company"), a leading manufacturer of proprietary biobased, compostable and sustainable bioplastics, today is providing shareholders with an outlook for the second half of 2013. The Company expects to report similar growth for the second half of 2013 as compared to the first half with strong growth being driven by the finalization of legislation in Italy for plastic bags.
Revenue is anticipated to increase nearly 800% year-over-year during the first half of 2013 to approximately $1.7 million. The company anticipates comparable growth to occur during the remainder of the year, particularly during the fourth quarter and beyond.
Revenue growth is driven by sales in Europe, specifically in Italy as mentioned above. Growth in Italy is largely attributed to the provisions of the pending legislation to impose severe financial penalties on merchants who do not replace conventional single-use plastic shopping bags with bioplastic alternatives. Cereplast is currently working with over 70 Italian companies. The total addressable market for Cereplast in Italy is approximately $50 million annually. In North America and India, the Company continues to receive orders and believes that the annual volume potential for both markets is substantial.

SEYMOUR, Ind., July 30, 2013 (GLOBE NEWSWIRE) -- Cereplast, Inc. (OTCQB:CERP) (the "Company"), a leading manufacturer of proprietary biobased, compostable and sustainable bioplastics, today is providing a shareholder update including an overview of the first half of 2013 and an outlook for the remainder of the year. The Company has made great strides over the past seven months and anticipates continued growth and success during the rest of 2013.
Compared to 2012, revenue for the first 6 months of 2013 experienced major growth, with the expected number to top approximately $1.7MM compared to about $0.2MM in 2012, reflecting a nearly 800% increase. This growth was fueled by the passing of Italian legislation that will require merchants to replace traditional single-use plastic bags with bioplastic and other alternatives. Severe sanctions will be imposed upon merchants that do not comply. Although this legislation is pending enforcement, management expects it to go into full effect in the fall of 2013. Upon enforcement, the Company believes that there will be a substantial increase in demand for its bioplastic resins. For the past 18 months, the Company has nurtured a group of over 70 Italian companies that have completed multiple successful tests with various grades of Cereplast Compostables(R) blown film resins. The Company estimates that the potential addressable market for their blown film resins in Italy is approximately $50 million per year. The Company has ample production capacity to serve such a demand.
Cereplast's office in Hyderabad, India has been actively educating local converters and introducing Cereplast resins. The demand is starting to accumulate, and several agreements are currently underway. India is one of the largest consumers of plastic polymers in the world, and the potential volume for bioplastic sales in the country is quite significant as they adopt bioplastic alternatives to conventional plastics, India is also very sensitive to the environment and has experienced firsthand the calamities created by excess industrialization and carbon dioxide emissions.
In the United States, the Company is working on over ten new projects both for Cereplast Compostables(R) resins and Cereplast Sustainables(R) resins. The steady increase in oil pricing is fueling a renewed interest in Cereplast resins and with two new business development managers dedicated to the domestic market, Management is confident to see measurable results before the end of Q3.
The Cereplast Research and Development department commercialized two new resins including Biopropylene A150D, an injection molding grade manufactured with 51% post-industrial algae biomass, and Compostable 2020D, an extrusion blow molding resin. Two new patents were granted and applications have been filed to protect the Company's new innovation in nano materials and algae biobased resins. The Company also incorporated a new, wholly owned subsidiary Algaeplast vehicle to develop algae-related research.
On the corporate side, the Company adopted an aggressive approach and filed legal actions against certain clients for their 2011 unpaid purchases. The Company was already successful in recouping valuable inventory in Italy as a settlement for outstanding receivables and is optimistic about the overall outcome of these pending actions.

(otcqb:CERP), a leading manufacturer of proprietary biobased, compostable and sustainable bioplastics, is advancing in the research and development stage in preparation to bring to the market a more sustainable and cost efficient process for the development of algae bioplastic resins. By using an algae biomass selection process in which food-based materials are not fed to the algae for growth, the food chain is not impacted, increasing sustainability. The material is also expected to lower costs in algae bioplastics development by deploying post-industrial processes, enabling the re-use of materials.
Algaeplast, a wholly owned subsidiary of Cereplast, develops algae-based bioplastics, leveraging post-industrial processes such as nutrient recovery from effluent waste streams and from carbon dioxide sequestration systems. As the algae biomass derived from these processes have already served a primary purpose, the secondary use of the material results in cost savings and increased efficiency due to material re-usage. In addition, Algaeplast does not use algae fed with food-based materials for growth. Algaeplast is the only company utilizing this criterion for the production of algae bioplastics.
"In a world in which the population is growing at a fast pace and demand for food and feedstock are on the rise, the use of feedstock for non-food purposes is often debated," said Frederic Scheer, Chairman and CEO of Cereplast. "A typical biofuel company will use a fermentation process that grows algae fast and with a high lipid content, but uses sugar as the carbon source. Algaeplast has four demonstration grades of algae in polypropylene with an algae biomass content from 15% to 51%. A newly commercialized grade includes algae in a thermoplastic elastomer (TPE). These grades show the ability for Algaeplast to formulate with algae biomass in TPE, polypropylene (PP), Polyethylene (PE), Ethylene Acrylate (EA), and other polymers. The ability to make algae biomass compatible in polymers has been practiced by Cereplast for several years.

On May 8, 2013, the Company filed in the Southern District of New York a lawsuit against Magna Group LLC and Hanover Holdings LLC for breach of contract, breach of the covenant of good faith and fair dealing. The Action is seeking compensatory damages in an unspecified amount, plaintiff's costs and attorneys' fees, and unspecified equitable or injunctive relief.
Magna Group LLC and Hanover Holdings LLC filed a request for relief and preliminary injunction against Cereplast on August 23. On December 11 the United States District Court - Southern District of New York denied the motion for a preliminary request injunction.

(the “Company”) entered into a Stock Purchase Agreement (“Agreement”) with Ironridge Technology Co., a division of Ironridge Global IV, Ltd. (“Ironridge”), for the sale of up to $5,000,000 shares of convertible redeemable Series A Preferred Stock. The Agreement prohibited Ironridge from engaging in various activities that could be harmful to the Company.
On January 20, 2014, the Company notified Ironridge that Ironridge is in material breach of the Agreement and therefore, effectively immediately, the Company is terminating the Agreement. To date, Ironridge has purchased only $ 2,970,000 of the Series A Preferred Stock. The Company is currently exploring additional financing options as a replacement. |
