(TSXV: IPT) (OTCQB: ISVLF) (FSE: IKL) ("IMPACT" or the "Company") is pleased to announce further results from an ongoing drill program at the Tres Amigos Zone at its recently acquired Plomosas zinc (-lead-silver) mine in northern Mexico.

HIGHLIGHTS

  • The Tres Amigos drill program continues to confirm the presence of high-grade mineralization in the area of the Plomosas Mine.
    • Drill hole TASC-24-28 intersected a wide interval grading 10.22% zinc, 0.50% lead and 8 g/t silver over 8.6 metres including 14.67% zinc, 0.66% lead and 11 g/t silver over 5.5 metres and including 30.10% zinc, 0.86% lead and 14 g/t silver over 1.1 metres.
    • Drill hole TASC-24-29 intersected 10.54% zinc, 5.48% lead and 19 g/t silver over 3.6 metres including 17.95% zinc, 10.16% lead and 32 g/t silver over 1.85 metres.
    • Drill hole TASC-24-32 intersected a wide 11.7 metre interval averaging 4.16% zinc, 2.43% lead and 13 g/t silver including a very high-grade section grading 30.10% zinc, 18.05% lead and 84 g/t silver over 0.8 metres.
  • The Tres Amigos Zone remains open for expansion and drilling is continuing.
  • High priority targets have been identified for drilling elsewhere on the property.

Drilled intervals are interpreted to be approximate true widths. Other holes drilled on the eastern extension of the Tres Amigos Zone mining area intersected low grades.

CEO STATEMENT

President and CEO Frederick Davidson commented, "It is very encouraging that we continue to drill high grade intersections in the Tres Amigos Zone at the Plomosas Mine. These intersections are located close to current mine workings and represent near term high grade mineralization for mining once operations are fully underway. When the near mine drilling is completed, we will next move the drill to test high priority targets beyond the immediate mine area."

PLOMOSAS MINE GEOLOGY AND MINERALIZATION

The Plomosas mine, a historic high grade zinc producer in northern Mexico (Figure 1), was recently acquired by the Company which has undertaken a surface drill program in the Tres Amigos area of the mine and has conducted an underground sampling program in stopes of the Plomosas mine which were partially exploited by the previous operator. Mineralization at the Plomosas mine occurs as zinc-rich Carbonate Replacement zones along certain horizons of the local sedimentary rock sequence. Two main mineralized horizons have provided the bulk of historic production, the Mina Vieja marble and the Juarez limestone, where structural ground preparation along these two units resulted in concentrations of zinc, lead and silver (Figure 2).

The Company initiated an exploration drill program on the Juarez limestone in the Tres Amigos area to test mineralization near workings with known mineralization from historic work. Mineralization in the Juarez limestone generally forms pods of high-grade zinc and lead at and near the contact with an overlying shale, and drill results such as reported here indicate potential for a additional high grade mineralization in this area providing impetus for further exploration.

This is in addition to other exploration targets on the 3,019-hectare property including untested copper-gold targets with indications of high-grade material from surface. Regionally, Plomosas lies in the same mineral belt as some of the largest carbonate replacement deposits in the world.
Quality Control/Quality Assurance

Samples reported in this news release were analyzed by ALS Group, an internationally recognized analytical services provider. Samples analyzed by ALS used a multielement ICP package for silver and base metals. Assays for base metals >1% used an overlimit ICP method. For samples with >30% Zn a wet chemical method is used. Certified Reference Materials and internal control samples are added to the sample stream at regular intervals to track accuracy of assays.

IMPACT Silver Announces C$6.2 Million Non-Brokered Private Placement Financing

Vancouver, British Columbia--(Newsfile Corp. - April 30, 2024) - IMPACT Silver Corp. (TSXV: IPT) (OTCQB: ISVLF) (FSE: IKL) ("IMPACT" or the "Company") is pleased to announce a non-brokered private placement financing (the "Offering"), pursuant to the listed issuer financing exemption (LIFE) of National Instrument 45-106 Prospectus Exemptions ("NI 45-106") and other private placement exemptions under NI 45-106. The LIFE portion of the Offering is referred to in this news release as the "LIFE Offering". The Company intends to raise gross proceeds of up to $3,200,000 from the sale of up to 11,428,572 units (the "LIFE Units") at a price of $0.28 per LIFE Unit, and up to $3,000,000 from the sale of up to 11,111,111 standard private placement units (the "Standard PP Units") at $0.27 per Standard PP Unit. Each LIFE Unit will consist of one common share of the Company and one half common share purchase warrant (each whole such warrant, a "Warrant"), with each Warrant entitling the holder thereof to acquire one common share of the Company (a "Warrant Share") at a price of $0.34 per Warrant Share for a period of 24 months from its date of issue. Each Standard PP Unit will consist of one common share of the Company and one full Warrant, with each Warrant entitling the holder thereof to acquire one Warrant Share at a price of $0.34 per Warrant Share for a period of 24 months from its date of issue.

The Company intends to use the proceeds from the Offering to accelerate exploration activity at its Plomosas high-grade zinc-lead-silver property located in Chihuahua, Mexico, further develop its prolific silver assets at its legacy Royal Mines of Zacualpan district, as well as invest in operational improvements to improve productivity and throughput as the price of silver nears 52-week highs. Exploration activities include sampling, target definition, and drilling with the intention of expanding the existing JORC mineral resource at Plomosas, where only 600m of the 6-kilometre-long structure has been tested. The region is known for hosting some of the largest carbonate replacement deposits in the world. As such, the Company intends to allocate a portion of the proceeds to continue development and grow production at the Plomosas high-grade zinc deposit as zinc prices continue to outperform on the back of forecasted supply deficits.

Subject to compliance with applicable regulatory requirements and in accordance with National Instrument 45-106 - Prospectus Exemptions, the LIFE Offering is being made pursuant to the listed issuer financing exemption under Part 5A of NI 45-106 (the "Listed Issuer Financing Exemption"). The securities offered under the Listed Issuer Financing Exemption will not be subject to a hold period in accordance with applicable Canadian securities laws. There is an offering document (the "Offering Document") related to the LIFE Offering that can be accessed under the Company's profile at www.sedarplus.ca and on the Company's website at impactsilver.com. GUADALUPE UNDERGROUND DRILLING - NEW DISCOVERY

Underground drilling south from Level 140 of the Guadalupe Mine intersected new significant mineralization designated Kena Vein South, within 100-200 metres of active mine workings. Assays have been received from the first four drill holes in the zone:

True widths are interpreted to be 85-100% of drill intervals. Hole UG-002-24 was drilled 50 metres to the northwest of the new discovery area and intersected low grades. The wide, high grade intersection in hole MPZ-UG-001-24 is interpreted to be locally thickened by stacked splay veins off the main vein.

The Kena Vein South has now been drill tested over a length of 150 metres from mine Level 140 and is open for extension to the southeast, updip and downdip. Drilling is continuing.

IMPACT Silver Announces Q1 2024 Financial Results with Improved Revenue and Investment

(TSXV: IPT) (OTCQB: ISVLF) (FSE: IKL) ("IMPACT" or the "Company") announces its financial and operating results for the first quarter ended March 31, 2024. The Company reports revenue of $5.3 million in Q1 2024, of which $4.3 million was from Guadalupe Mining Centre with $1.0 million from the start-up operations at the Plomosas mine which was acquired in April 2023 . There was a net loss during the period of $3.1 million, primarily from MLAZ (Plomosas zinc mine) as that company incurred $2.8 million in operating costs expensed during the quarter to upgrade the facilities.

Subsequent to quarter-end, the Company announced a non-brokered private placement financing of up to $10.2 million, and closed the first tranche for aggregate gross proceeds of $7.1 million. The second tranche is anticipated to close on or before the week of June 3, 2024. During the quarter, the Company continued to focus on exploration and development of its mining districts and spent $1.9 million on these programs.

The price of silver and zinc started to improve towards the end of the quarter as a more dovish policy from the U.S. Federal Reserve led to speculation of interest rate cuts in 2024. These gains were reinforced as it became clearer that inflation was trending towards the central bank's target of 2%.

Major Investment in Rehabilitation Setting Stage for Growing 2024 Production

Throughout the first quarter, management sought to accelerate maintenance, rehabilitation and underground development efforts at both mines including upgrading the underground railway track system and shaft at Zacualpan while redesigning the Plomosas mine plan and planning a low-cost solar and battery power solution at Plomosas. The second quarter has already seen significant upward price movement in commodity prices, namely for silver and zinc which are the Company's two main revenue sources. Additionally, the Company successfully negotiated a new labour agreement with the primary union at the Zacualpan silver operation, allowing for added cost certainty and more efficient production going forward.

Q1 2024 Review

Zacualpan Silver Operation

During the quarter, the Company milled a total of 31,735 tonnes of mill feed at the Zacualpan/Guadalupe complex, down from 35,825 tonnes in Q4 2023. The decline was due to maintenance at the mine including rebuilding the underground railway track system and shaft which resulted in production stops during the quarter. The Company returned to normal capacity levels by the end of the period.

As a result, silver production from the Guadalupe complex during the period was 137,291 oz compared to 156,430 oz in Q4 2023. The average mill head grade on a silver-equivalent basis in Q1 2024 was 161 g/t compared to 160 g/t in Q4 2023. Lower gold production was due to reduced recoveries as well a temporary stop in production at the gold-rich Alacran mine while conducting metallurgical studies. Alacran is the principal source of gold production and with improved recoveries is expected to return to production in the second half of 2024. Notwithstanding, revenue per tonne sold in the period was comparable at $134.59 to $135.80 in Q4 2023, while direct costs per tonne decreased to $128.12 from $152.38.

Plomosas Zinc Operation

At the Plomosas mine, the Company recommenced limited test production in October 2023, after a substantial stage one rehabilitation program following the acquisition of the mine in April 2023. In Q1 2024, the Plomosas mine continued the gradual start-up of operations processing 3,594 tonnes with a grade of 15.3% zinc. Typical start-up pauses are ongoing to review and optimize processes. Continued improvements are taking place, and the mine is expected to reach design capacity of 200 tpd later in 2024.

Outlook

Management believes the Company is well-positioned as an intermediate miner offering investors exposure to three distinct verticals across the mining sector, including exploration, production, and growth.

IMPACT continues to be one of the purest intermediate silver miners with nearly all the Company's revenue coming from silver-focused operations during the quarter. Later in 2024, the Company's high-grade Plomosas zinc mine is anticipated to meaningfully contribute to the overall revenue mix, especially as zinc has been one of the top base metal performers this year, with pricing up nearly 30% from 2024 lows in Q1. Meanwhile, the Company continues to seek increased gold production and aims to aggressively expand exploration activity at both mines to drive higher grade and profitability.

Overall revenue in Q2 2024 was $7.7 million, representing a significant 40% increase over Q2 2023 revenue of $5.5 million. Revenue in Q2 2024 includes $1.8 million from the Plomosas high-grade zinc mine up from $1.0 million in Q1 2024. The Plomosas high-grade zinc mine (acquired in April 2023) was brought online in late 2023 and therefore, year-over-year comparisons do not include any revenue or operating costs recorded in Q2 2023. Meanwhile, revenue at the Zacualpan silver-lead-zinc project increased to $5.9 million in Q2 2024 from $5.4 in Q2 2023 despite lower production on a year-over-year basis, owing mostly to stronger silver prices.

The mine operating loss (before amortization and depletion) in Q2 2024 was $0.2 million compared to income of $0.9 million Q2 2023 which did not include any start-up and operating costs from Plomosas. The Company continued to experience cost pressures at its mine sites, certain one-time costs associated with bringing the Plomosas mine online, and the negative effects of a strong Mexican Peso. The net loss in Q2 2024 was $2.6 million compared to a net loss of $0.9 million in Q2 2023.

Q2 2024 Consolidated Financial Overview

  • Revenue in Q2 2024 was $7.7 million, up from $5.5 million in Q2 2023.
  • Mine operating loss before amortization and depletion[1] in Q2 2024 was $0.22 million, compared to income of $0.9 million in Q2 2023.
  • The net loss in Q2 2024 was $2.6 million after foreign exchange expense and deferred income taxes totalling $0.6 million compared to net loss of $0.9 million in Q2 2023.
  • After investing $1.6 million in exploration expenditures and mining assets during the quarter, the cash position remained strong at quarter-end with $9.9 million and working capital of $8.8 million.
  • During the quarter, the Company closed a non-brokered "LIFE" and private placement of $8.6 million.

Q2 2024 Zacualpan Mine Production Overview

  • Mill throughput in Q2 2024 was 35,062 tonnes compared to 35,753 tonnes in Q2 2023.
  • Silver production during the period decreased by 2% to 152,152 oz compared to 155,744 oz in Q2 2023 while lead and gold production decreased on a year-over-year basis by 36% and 69%, respectively.
  • Revenue per tonne sold was $168.17 in Q2 2024, representing an increase of 8% compared to $155.67 in the same period of 2023.
  • Direct costs per production tonne were $153.26 in Q2 2024, representing an increase of 17% over Q2 2023 costs of $130.67 per tonne. Much of this increase is due to foreign exchange, a retroactive union labour settlement including associated bonuses, with the balance coming from inflation-related pressures in Mexico. On a Mexican Peso basis, costs for the first six months of 2024 were the same as the first six months of 2023.
Zacualpan Silver District Review

The Company's overall average mill head grade of 161 g/t during the period was down 1% year-over-year from 163 g/t in Q2 2023. Gold production during the period was temporarily reduced compared to the same period in 2023 as the Company adjusted mining efficiencies and improved recoveries from its gold-rich Alacran mine. The Company is continuing to focus on exploration and development of the mining district in Q2 2024, having drilled 5,243 meters over the last six months.

Stronger metal prices on a year-over-year basis are due to increased confidence of pending looser monetary policy in 2024 as well as geopolitical uncertainties emanating from Eastern Europe and the Middle East. A flight to safety has increased the flow of funds into commodities in general, and the mining sector in particular as investors seek protection from ongoing inflationary pressures. Notwithstanding, ongoing cost inflation continues to impact costs throughout the supply chain and labour network, despite a softening of these trends since late 2023. Moreover, the overall negative effect of a strong Mexican Peso continues to hamper the Company's profit margins. The rate of cost increases at Zacualpan may start to subside further in 2H 2024 as new labour contracts have provided some cost certainty while the Company works to improve throughput grade.

Q2 2024 Plomosas Mine Production Overview

  • The Plomosas high-grade zinc mine (acquired in April 2023) was brought online in late 2023 and production continues to ramp up
  • Mill throughput in Q2 2024 was 9,256 tonnes, up 157% from 3,594 tonnes in Q1 2024.
  • Since the start of 2024, the average zinc grade was 14%, lead was 8.7% and silver was 43.7 g/t.
  • Over the last six months, the Company drilled 14,377 meters to support ongoing and future production.
  • Production at the start of Q2 2024 was approximately 100 tpd (tonnes per day), compared to no production in the same period last year.
  • Costs at Plomosas stabilized over the first six months of 2024 despite ongoing costs related to site improvements and mine development, resulting in a $0.2 million cost decrease in Q2 2024 compared to Q1 2024.
Plomosas High-Grade Zinc Mine Review

Following the acquisition of the Plomosas high grade zinc (lead-silver) mine in April 2023, the Company was focused on rehabilitating the mine, plant and equipment, and commenced limited start-up operations in late 2023 while initiating an extensive exploration program. During Q2 2024, the Company accelerated the production ramp-up at Plomosas and expects continued growth in production levels, reaching 150-170 tpd by the end of Q3 2024 and eventually design capacity levels by late 2024/early 2025 of 225 tpd.

This production ramp up is reflected in the current financial results and should continue to play a larger role over the balance of 2024 and into 2025. As the operation reaches design capacity, investors should anticipate higher overall revenue from the project and an ongoing decrease in per tonne operating costs, as was the case in Q2 2024 compared to Q1 2024.

HIGHLIGHTS

  • Recent surface drill results tested extensions of the Tres Amigos Zone including:

    • Drill hole TASC-24-039 intersected a wide interval averaging 8.86% zinc, 2.65% lead and 12 g/t silver over 5.6m true width including a high-grade section grading 27.50% zinc, 3.43% lead and 19 g/t silver over 1.1 metres true width.

    • Drill hole TASC-24-040 intersected 16.60% zinc, 8.04% lead and 35 g/t silver over 2.5 metres true width.

    • Drill hole TASC-24-038 intersected 14.95% zinc, 0.72% lead and 16 g/t silver over 2.3 metres true width.

True width estimates are interpreted from current geological models. All these Tres Amigos area drill holes are beyond the current active mining area and lie outside the JORC mineral resource published by the previous operator (see IMPACT news release dated April 3, 2023 for details) except for TASC-24-37 which was an infill hole in the mine area. Other recent holes drilled on the extension of the Tres Amigos Zone mining area intersected low grades. Tres Amigos area mineralization remains open for exploration and drilling is continuing.

The Plomosas mine, a historic high-grade zinc producer in northern Mexico (Figure 1), was acquired last year by the Company. Recent drill programs have been undertaken in the Tres Amigos area on extensions of active mine areas and nearby in the new Juarez Mine area. Mineralization at the Plomosas mine occurs as zinc-rich Carbonate Replacement zones along certain horizons of the local sedimentary rock sequence. Two main mineralized horizons have provided the bulk of historic production, the Mina Vieja (Tres Amigos) marble and the Juarez limestone, where structural ground preparation along these two units resulted in concentrations of zinc, lead and silver (Figure 2).

Exploration potential at Plomosas is exceptional where only 10% of the 6 km-long structure have seen modern exploration. This is in addition to other exploration targets on the 3,019-hectare property including untested copper-gold targets with indications of high-grade material from surface. Regionally, Plomosas lies in the same mineral belt as some of the largest carbonate replacement deposits in the world.

HIGHLIGHTS

  • Recent underground drill results in the Juarez Mine area include:
    • Drill hole UGMJ-2420 intersected a high-grade interval grading 14.13% zinc, 1.59% lead and 12 g/t silver over 2.2 metres true width including a very high-grade section grading 26.06% zinc, 3.02% lead and 23 g/t silver over 0.9 metres true width.
    • Drill hole UGMJ-2415 intersected a very high-grade interval of 30.1% zinc over 1.2 metres true width.
    • Drill hole UGMJ-2422 intersected a very high-grade interval of 30.1% zinc over 1.1 metres true width.
  • The Juarez Mine Zone remains open for exploration and drilling is continuing.

True width estimates are interpreted from current geological models. The Juarez Mine area lies stratigraphically below the Mina Vieja (Tres Amigos Mine) horizon and a separate access to this nearby area is now being developed from the historic Juarez Mine adit at surface (see Figure 2). Other holes in the Juarez Mine area intersected lower grades or narrower intervals. All these Juarez Mine area drill holes lie outside the JORC mineral resource blocks published by the previous operator (see IMPACT news release dated April 3, 2023 for details). Juarez Mine area mineralization remains open for exploration in all directions and drilling is continuing.

KENA VEIN SOUTH UNDERGROUND DRILL RESULTS

Underground drilling from Level 140 of the Guadalupe Mine intersected further significant mineralization on the south extension of the recently discovered Kena Vein South, within 100-200 metres of active mine workings. New assays received include the following:

True widths are interpreted to be 85-100% of drill intervals. Drill results reported in this news release were infill holes on the Kena Vein South to fill a gap in previously reported drilling in preparation for mining (see Table 2 and Figure 1). These results include nearby parallel and splay veins. Additional drilling is planned, surface trenching and sampling of the vein has been completed (assays pending), and new underground access to the Kena Vein South is close to completion to begin mining. The Company intends to continue to maintain a broad exploration program in 2025 and expects to update the market with additional drill results in the coming months.

CEO STATEMENT

President and CEO Fred Davidson commented, "We are pleased with these additional excellent drill results from the recently discovered Kena Vein South which has now been drilled over 150 metres length and remains open for further drilling. The close proximity of the new vein to current active mine workings has allowed for rapid and low cost mine development. Our mining team is close to completing a new underground access to the vein and it is expected that the first mineral will be mined from Kena South this month. These results are a testament to the Company's ongoing, aggressive exploration program targeting primarily high-grade silver as well as significant gold, lead and zinc values."

KENA VEIN SOUTH DRILL RESULTS TO DATE

The Kena Vein South has now been drill tested over a length of 150 metres from mine Level 140 and is open for extension to the southeast, updip and downdip. Table 2 below is a compilation of drill results from the zone to date and Figure 1 is a map of drill hole locations:

(TSXV: IPT) (OTCQB: ISVLF) (FSE: IKL) ("IMPACT" or the "Company") is pleased to announce a non-brokered private placement of $3.5 million of the Company (the "Units") with lead orders from strategic investors, Trafigura PTE LTD. ("Trafigura") and Palisades Goldcorp Ltd. ("Palisades"). The non-brokered private placement will consist of a LIFE offering for $1.75 million, which is being fully allocated to Trafigura, and a standard private placement for $1.75 million, of which Palisades is participating for $1.1 million.

Trafigura is a major supplier of vital resources, including non-ferrous and precious metals, as a market leader in the global commodities industry. Trafigura was founded in 1993 and is active in more than 150 countries.

Palisades is a publicly-listed investment company focused on the junior resource space. With a strong balance sheet and an experience management team, Palisades provides investors with highly levered exposure to junior resource equities. Palisades is listed on the TSX Venture Exchange under the stock symbol PALI and holds a diversified portfolio of securities and derivatives.

The financing will be under the (LIFE) of National Instrument 45-106, Prospectus Exemptions, and other private placement exemptions under NI 45-106. The LIFE portion of the Offering is referred to in this news release as the "LIFE Offering". The Company intends to raise gross proceeds of up to $1,750,000 from the sale of up to 8,750,000 units (the "LIFE Units") at a price of $0.20 per LIFE Unit, and up to $1,750,000 from the sale of up to 9,722,222 standard private placement units (the "Standard PP Units") at $0.18 per Standard PP Unit. Each LIFE Unit will consist of one common share of the Company and one half common share purchase warrant (each whole such warrant, a "Warrant"), with each Warrant entitling the holder thereof to acquire one common share of the Company (a "Warrant Share") at a price of $0.26 per Warrant Share for a period of 24 months from its date of issue. Each Standard PP Unit will consist of one common share of the Company and one full Warrant, with each Warrant entitling the holder thereof to acquire one Warrant Share at a price of $0.24 per Warrant Share for a period of 36 months from its date of issue.

The Company intends to use the proceeds from the Offering to accelerate exploration activity at its Plomosas high-grade zinc-lead-silver property located in Chihuahua, Mexico, further develop its prolific silver assets at its legacy Royal Mines of Zacualpan district, as well as invest in operational improvements to improve productivity and throughput as the price of silver nears 52-week highs. Exploration activities include sampling, target definition, and drilling with the intention of expanding the existing JORC mineral resource at Plomosas, where only 600m of the 6-kilometre-long structure has been tested. The region is known for hosting some of the largest carbonate replacement deposits in the world. As such, the Company intends to allocate a portion of the proceeds to continue development and grow production at the Plomosas high-grade zinc deposit as zinc prices continue to outperform on the back of forecasted supply deficits.

Subject to compliance with applicable regulatory requirements and in accordance with National Instrument 45-106 - Prospectus Exemptions, the LIFE Offering is being made pursuant to the listed issuer financing exemption under Part 5A of NI 45-106 (the "Listed Issuer Financing Exemption"). The securities offered under the Listed Issuer Financing Exemption will not be subject to a hold period in accordance with applicable Canadian securities laws. The Offering is scheduled to close on or about the week of May 15, 2025 and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the TSX Venture Exchange (the "Exchange"). This is in addition to other exploration targets on the 3,019-hectare property including untested copper-gold targets with indications of high-grade material at surface. Regionally, Plomosas lies in the same mineral belt as some of the largest carbonate replacement deposits in the world.
