Hudson's Bay lands go-private offer

Shares of Hudson's Bay ( OTCPK:HBAYF +45.7%) soar after a group of shareholders make an offer to take the department store operator private at C$9.45.

The group includes Chairman Richard Baker, Rhône Capital LLC and WeWork Property Advisors, according to The Wall Street Journal.

Hudson's Bay is trading at C$9.17 in Toronto after starting off the day at C$7.12. Hudson's Bay traded as high as C$12.05 last summer.

CTVA and UNFI update . . Both companies in transition

Upped my CTVA position by 35% w/ a BUY at $25.25/share.

Stock is undervalued based on EPS estimates. I found that Schwab has an alert feature when new analyst reports are issued and find that CTVA is getting more coverage and large range on 2019 EPS ( $1.10 to $1.60).

Will set up next BUY at/below $25.00/share or if EPS estimates change by 10%.

Analyst reports still show nice div based on 35% distribution of EBITDA (I heard 43% in an early conference call). In both cases yield s/d be at/near 4% but changes based on EPS booked.

Also was looking at analysts update for UNFI, a more difficult analysis as the SVU write downs are a moving target and impact current EPS. My take away was quite positive if/when normalized earnings settle in (after retail SVU CUB stores sold, margins stabilize, and growth kicks in w/ new warehouse capacity).

GN calculation based on $1.20/share EPS is now around $25/share. Low Risk reward w/ the stock priced at $10.50/share. Consolidation may/could take longer and we may see a few write downs (some discussion on discontinued operations and related charges). The SVU acquisition disrupted their solid balance sheet but was necessary to expand their warehouse capacity and regional distribution foot print.

So, very positive on both of these stocks; CTVA and UNFI. My two largest 2020 bets.

Big discount from offering price. IMO-How could you trust Vintage when it just paid a 92 million dollar settlement on it's bungled Rent A Center takeout? I think Vintage is trying to flush out a hypothetical different suitor out. This based on the 50+ stock price traded early last year. I think this is a perfect time in the market for PE to pounced on companies that are showing weakness.

Red Robin's stock soars after shareholder said its prepared to make a buyout bid

That would represent a 57% premium to the stock's Wednesday closing price, and would value the company at about $519 million.

Agree, just because a large shareholder rattles the cage does mean automatic deal. While possible, in this case it is clear mgmnt is set against it. Of course total coincidence that about a week prior they did this ;-)

"The Board adopted the Rights Plan to deter any entity, person or group from gaining control of Red Robin through the open market or private transactions without paying an appropriate control premium or offering fair and adequate value to all shareholders," Red Robin said in a statement.

Seems like a smaller scale Carl Icahn move. Only Carl thinks bigger these days, and carries through sometimes. The days of Green Mail are gone. However I guess this duress bid is the next best thing for an activist wanting to put a company in play these days.It will be interesting to see what happens. Interestingly I'm watching PLAY-Dave & Busters who also had a big miss and a gap down . This as well as BLMN which I am out at present time.

Added some AWRE today- 50 million in cash-

RE-10k- On April 24, 2018, we issued a press release announcing that our board of directors had approved the repurchase of up to $10,000,000 of our common stock from time to time through December 31, 2019. During the three months ended March 31, 2019, we purchased 19,705 shares under this plan at an aggregate purchase price of $77,962.


Trading below previous minuscule purchases. Guessing this might be an opportune time? I don't like the board option compensation program. However, I do like the Knomi Mobil Biometric application.
