Nucleus Announces Special Shareholders Meeting
COLORADO SPRINGS, Colo.--(BUSINESS WIRE)--April 1, 1999-- Nucleus, Inc., formerly American General Ventures, Inc. (Nucleus) (OTC BB:NCLS - news), has scheduled a Special Shareholders Meeting to formally vote on its pending merger with Nucleus Holdings (Holdings).
The meeting will be held on Thursday, April 15, 1999, at 10:00 am, at the Hotel Monaco, 225 North Wabash Avenue, Chicago, Ill.
Nucleus has filed a Special Proxy Statement with the Securities and Exchange Commission with respect to this merger and will be mailing the Special Proxy on April 2, 1999, to shareholders of record as of March 8, 1999.
On October 30, 1998, Nucleus entered into a merger agreement with Holdings whereby all of the outstanding shares of Holdings would be exchanged for 5,307,109 newly issued Nucleus shares. The merger is intended to qualify as a tax-free reorganization within the meaning of a statutory merger as described in Section 368(a)(1)(A) of the Code and pooling of interests for accounting and financial reporting purposes. Completion of the transaction is subject to the approval of Nucleus' shareholders.
On December 8, 1998, in anticipation of the merger, American General Ventures changed its name to Nucleus and effected a one-share- for-ten-shares reverse stock split.

Yup, you and me both...ain't gonna sell at these prices, so might as well watch the ticker, read the news, and hope for some form of recovery.
The float is still very tight, so if they start producing something of value, the price should go back up. |

John, looks like the shareholder meeting this morning has renewed some confidence in some investors. I'm expecting some type of news on what went on besides the merger vote and election of BoD members.

Looks like a move to take over the corp. - notice it only moved 77K shares even with all of that price increase. people are holding on to it, and paying a premium to get more.
I had been holding mine, but sold on Fri. at 7 1/2 however. May get back in it there is a reason to; but it may be very hard. |
