Very bullish conference call today. The replay can be heard until Friday afternoon by calling 1-800-633-8284 and entering reservation number 13127759.

Anyone even remotely interested in Jakks Pacific should take the 15 minutes and listen to the call. They went into some detail, but the basic points were as follows:

Analysts have been raising estimates for Q3 to around $0.60. Jakks is very comfortable with these estimates. They are also very comfortable with Q4 estimates.

Business is going great and showing strong growth on all fronts; WWF action figures, mini vehicles, child guidance, BASS Fishing, dolls, etc. etc.

The Xtreme Bike deals are much bigger than I thought. We're talking a market of 80 million bikers and some serious TV air time. Jakks claims to have signed up the Michael Jordon of Biking as one of their spokespersons and also another top stunt biker. You need to listen to the call to catch all of the cool bikes and accessories they will be selling and to find out what "Trick Sticks" are. Jakks even mentioned TV advertising and that's a new one in all respects. They say they are going all out on the Xtreme Bike line and that retailers are falling all over themselves to order the products. They start shipping in late November.

Inventory levels at the retailers and at the wholesale level are at wonderfully low levels.

There just wasn't a single negative word said on the entire conference call. Give the replay a try.

Good luck.
Dave

JAKKS Pacific Inc. Announces Proposed Acquisition of Flying Colors Division

MALIBU, Calif.--(BUSINESS WIRE)--Sept. 23, 1999--JAKKS Pacific Inc. (NASDAQ/NM:JAKK - news) today announced that it has signed a definitive agreement to acquire the Flying Colors business of privately held, Michigan-based Colorbok Paper Products Inc.

Flying Colors, which achieved sales of approximately $54 million in its fiscal year ended May 31, 1999, is a leading brand in the activity segment of the toy industry. Products include molded plastic activity sets, clay compound playsets and lunch boxes. Licensed characters used in conjunction with is products include Nickelodeon's Rugrats and Blue's Clues, Warner Bros.' Looney Tunes, Mattel's Barbie and Sanrio's Hello Kitty.

JAKKS Pacific plans to retain two senior divisional executives in sales, product development and licensing, and the product design and launch team. But, to achieve greater operational and cost efficiency, JAKKS expects to transfer certain of the Flying Colors operations to JAKKS Pacific's U.S. and Hong Kong offices.

JAKKS believes that its strength in manufacturing, sales, marketing and distribution will enable it to take advantage of Flying Colors' quality products and licenses to enhance the product line. In addition, Flying Colors' extensive distribution among specialty chains may provide an opportunity to expand the distribution of JAKKS Pacific's other product lines through these channels.

Commented Jack Friedman, chairman and chief executive officer of JAKKS Pacific: ''Flying Colors represents our largest acquisition to date, and will immediately give us a significant presence in a core sector of the expanding toy arts and crafts business. The acquisition also continues our strategy of diversifying and expanding our product lines and distribution channels.

''JAKKS Pacific has expanded its product offering from dolls and action figures to include die-cast vehicles and collectibles, then to include infant and preschool toys, and now to include toy arts and crafts activity sets.

''Given Flying Colors' rapid growth, creativity, key licenses and strong management, we see it as a natural fit with JAKKS Pacific. And, we are pleased to have two very talented Flying Colors' executives and their team join the JAKKS Pacific organization,'' added Friedman,

Commented Stephen Berman, president and chief operating officer of JAKKS Pacific: ''We are very excited about the addition of Flying Colors. Consistent with our previous acquisitions, we believe that we will be able to realize various efficiencies through the synergy created by this acquisition.

''Yet, even without these efficiencies and anticipated operational cost-saving, we expect this acquisition to be accretive to earnings immediately. Closing is expected to be within 30 days.''

Shareholders of Colorbok will retain the Colorbok specialty business, which manufactures and distributes gifts, stationery, scrapbooking and children's products to specialty retailers under the Colorbok Paper Products name.

JAKKS Pacific Inc. and its affiliates develop, manufacture and market toys and related products for children, including action figures featuring characters from the World Wrestling Federation, die-cast collectible and toy vehicles under the Road Champs and Remco brand names, Child Guidance® preschool toys, foam puzzle mats and playsets, and a line of fashion dolls and accessories.

This looks like a great acquisition and I hope they got it at a good price....now if this holiday season is really big, as I expect it will be, then that will make our springtime even better....if todays favorable stock action is any indicator and I suspect it is, then it would appear the street thinks this was a good move as well !

You should definitely listen to the conference call to get the full story, but here's a few notes.

1. They got a great deal. Flying Colors is a rapidly growing product line with great licenses and similar gross margins to JAKK lines. The retailers are similar to JAKK's retailers and the synergies will be beneficial. Without factoring in increases in profitability due to efficiency / synergies, this acquisition will add $.05 to Q4 and $0.30 to FY 2000. Two top managers at Flying Colors will stay with the team and add considerable experience to the team. JAKK has acquired great management skills as well as a great product line.

2. Jakks Pacific is now the 5th largest toy company based on US sales.

3. Jakks Pacific is possibly the favorite vendor of the retailers. There are indications that they are preferred over all toy vendors including Hasbro and Mattel.

4. The THQI / JAKK video games have been reviewed and are virtually the number 1 game in the near future. The games are getting great reviews and the retailers are tripping all over themselves to order them.

5. JAKK recommends that analysts add another $.05 to Q4 in addition to their current estimates based on the prospects for the THQI JV.

6. The TRON has hit some stores and is selling very well. This is a HUGE hit.

7. The interactive action figure will be in stores in a week or two. Also expected to be a big hit.

8. The JakksPacific web site is up and running. It only sells specialty products and the prices should result in some very nice margins. Get in line if you want to buy one of these products because they are specialty, non-stock items only.

9. All JAKK product lines are growing rapidly. WWF, Wheels, Child Guidance, Dolls, Flying Colors, etc. etc.

10. I found no signs of weakness in any product line that was discussed.

11. JAKK guidance is normally very conservative. This time they suggested that analysts raise their estimates. This certainly had something to do with the new $2.47 estimate that just hit the wires.

12. There were no negatives of any kind that I could find. Analysts asked tough questions and came away please with each and every answer.

WOW.

Dave
