VANCOUVER, BRITISH COLUMBIA--Stockgroup.com Holdings, Inc. (OTC BB: SWEB - news), an award winning

communities on the Internet, announced today that it has completed a private placement of 200,000 shares at $6.00 per share,
or USD$1.2 million in aggregate with Southam Inc., a subsidiary of Hollinger International (NYSE: HLR - news), one of the
world's leading newspaper publishing companies. This private placement by Southam Inc. represents an interest of 2.5
percent in Stockgroup.com. These shares are deemed ``restricted shares' as that term is defined under U.S. securities law.

Stockgroup.com has committed the proceeds of the private placement to advertise the upcoming launch of the Next Generation
website. In addition to the private placement completed with Southam Inc., Stockgroup.com also completed two private
placements earlier this year totaling USD$5.4 million.
