John...I just keep buying and tuck the following release under my pillow each night...most folks don't GET IT yet. Strange and wonderful things can happen to a stock's price when people GET IT. We talked to OZON after this announcment and I think I GOT IT. P&G is in for the duration...my opinion only.

entered into a financing agreement that will provide Cyclopss with
working capital to continue its ozone technology application efforts.

Under the terms of the agreement Procter & Gamble will advance
operating capital to Cyclopss secured by the Company's Intellectual
Proprietary and technologies. The agreement also grants P&G the first
right of refusal for the Global Licensing of all current, as well as
future proprietary technologies developed by Cyclopss. In addition P&G
has the right to convert all, or any part of the total monies advanced
into equity shares of Cyclopss common stock at any time during the term
of the agreement.

Is there the possibility of massive dilution in the future?

sidney...i don't have the terms in specifics as to what amount of shares P&G could receive upon conversion...but as a stockholder I would welcome their company.

Sidney, That is a real possibility, but I don't think it is very likely. The specifics of the loan were not disclosed, but it was to cover operating costs. Currently operating costs have been reduced to around 1 million dollars per year. So I am assuming the loan was for about the same amount. It was stated to be due and payable in one year from the signing. I believe by that time Cyclopss will have sufficient revenues from the Otres products to cover the loan and show a profit. I also believe they will be seeing royalty revenue from new P&G products which use Cyclopss technology/patents. To P&G 1 million must be like petty cash, so unless Cyclopss refuses to work with them I don't see any reason why they would convert it to common shares. Even if they did down the road at $1 per share that only comes to an additional million shares which wouldn't dilute the 22 million outstanding shares by very much. Just my opinion.

Sorry so long to respond but I've been caught up in some RL BS and have actually been waiting for a bottom to all the recent NASDAQ carnage before playing the bounces that should come. As far as reposting anything I post in public it is an honor that you feel any post is worthy of a repost! So be my guest anytime :-)
As far as the question of is OZON on the right track, that is a hard one to have a true opinion of because true solid information is still scarce lately. I do believe that OZON has the POTENTIAL to be a serious threat to their competition (and I mean non-ozone companies here as well) but they need to really get off the pompous attitude of "we know what's best" and perhaps sub out a percentage paid sales force amongst other things. OZON has been the victim of a snake battle for too long and unfortunately a lot of their strength has been vampired out but on the positive side this has happened to other companies that have rebounded with a new fierce determination (see IATR as an example now NTCS) so the possibility is there. I think personally that OZON will bottom around its current price around 50 cents and may run at least to the $3 range after this NASDAQ correction. Whether or not this will be sustainable will be something I hope to predict and possibly bet on at that time! First things first tho and that means the question of will it hold a 50 cent base for now. That is what I'm watching right now :-)

OZON price holding pretty good in real bad time with the NASDAQ. Thats a GOOD sign of a probable bottom. I'm still watching a while tho yet out of gunshyness but it could run a few times. P+G really got a sweetheart of a deal. Interesting.
