I see a lot of people confused over the issue over the issue of increasing the number of authorized shares. The number of authorized shares is the number of shares the company is allowed to issue -- ***not*** the number of issued shares. The number of shares used in P/E ratios are issued shares and not authorized shares. Most companies have more authorized shares than issued shares!! Allowing for an expansion of authorized shares allows the company to (amongst other things..) to finance for the purchase of other companies paid thru the issuance of shares to the seller. Please note that an increase of authorized shares has no effect on the balance book or income statment.
