Local zoning and building code violations?

n addition, the Parties acknowledge that the Premises are subject to investigation and Seller has received notice of violation as to local zoning and building code ordinances related to the Premises. Buyer shall be held completely free and harmless relative to all such issues and shall be indemnified by Seller for any and all liabilities which may be asserted against Buyer relative to its occupancy and operations at the Premises (except for any actions which constitute gross negligence or willful misconduct by Buyer or its own actions which constitute knowing violation of law if the Premises were properly zoned for the known uses of the Business). The foregoing applies regardless of any release of liability Seller may obtain for the owner of the Premises. Seller has represented and does hereby reaffirm that it will undertake all legal proceedings and bear all costs necessary to attend to the pending zoning and building code violations and do whatever is necessary to allow Buyer to utilize the Premises for their intended purposes in conducting the Business pursuant to the terms of the Lease. Buyer has relied on this material representation in consummating the transactions contemplated hereunder.
