There's nothing "dissimilar" at all about my post. Your recitation of the governing legal principles is accurate, but merely gives some of the mechanical elements of how a BOD has to act in order to properly exercise its discretion and fulfill its fiduciary duty. It does not change the fact that it's the BOD, not the shareholders, who make the decision.
