I saw this interesting comment in the terms.

Terms of the Agreement
Under the terms of the licensing agreement, S3 has exclusive and
semi-exclusive access to certain Faroudja video technology to bring
high-quality video to the personal computer. The partnership will
also include an equity investment in Faroudja Laboratories.
Technology being licensed includes: blah...blah...blah

Maybe this explains those sells were all concerned about.
