AT&T will retain the remaining interest in the economic performance of the AT&T Wireless Group in the form of an inter-group interest. We currently intend to follow the initial public offering with a distribution to holders of AT&T common stock of new shares of AT&T Wireless Group tracking stock. These shares would represent the economic performance of the AT&T Wireless Group not represented by the shares of tracking stock that we issue in the offering. The exact method and timing of this distribution has not yet been determined. Following the distribution, we expect that the outstanding shares of AT&T Wireless Group tracking stock will reflect 100% of the economic performance of the AT&T Wireless Group. We currently expect to complete the distribution at some time after the offering and after we complete our pending merger with MediaOne Group, Inc. There is no guarantee, however, that the distribution will follow this initial public offering."
